Outline of sources and development of Irish Law with particular emphasis on Legislation and European Union Law.

Contract

Formation, Terms and Exclusion Clauses, Validity: Mistake, Misrepresentations, Duress, Undue influence. Illegality. Restraint of Trade. Discharge: Performance, Agreement, Frustration and Breach. Remedies.

Sale of Goods Contracts

Implied terms. Transfer of possession and property.

Employment Contracts:

Contracts of service and for services. Unfair and wrongful dismissal. Redundancy. Remedies

Agency: Relation between the principle and the agent and a third party.

Company Law

Share capital. Loan capital. Directors, Company Secretary, Auditor. Shareholders.

Data Protection.

Tort

Negligence. Duty of care. Duty of possessor of skills. Liability.

Companies Act 2014/2019; Relevant European Communities Legislation.
